Terms of Service

1. Acceptance of Terms

By accessing or using the Clickless website (useclickless.com) or the Clickless software platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms apply to all visitors, users, and organizations that access or use the Service.

2. Description of Service

Clickless is an administrative workflow automation tool designed to help healthcare organizations reduce repetitive EHR tasks. The Service is not a medical device, does not provide clinical decision support, and does not diagnose, treat, or make recommendations regarding individual patient care.

3. NOT MEDICAL ADVICE

NOTHING ON THIS WEBSITE OR IN THE SERVICE CONSTITUTES MEDICAL ADVICE, CLINICAL GUIDANCE, OR A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT. CLICKLESS IS A WORKFLOW AUTOMATION TOOL. ALL CLINICAL DECISIONS REMAIN THE SOLE RESPONSIBILITY OF QUALIFIED HEALTHCARE PROFESSIONALS. DO NOT RELY ON CLICKLESS FOR DIAGNOSIS, TREATMENT, OR CLINICAL RECOMMENDATIONS.

4. HIPAA and Business Associate Agreement

Customers who qualify as covered entities or business associates under the Health Insurance Portability and Accountability Act (HIPAA) must execute a Business Associate Agreement (BAA) with Clickless before using the Service to process, store, or transmit protected health information (PHI).

Use of the Service to process PHI without an executed BAA where one is required constitutes a material breach of these Terms and may expose you to regulatory liability.

Clickless is not a covered entity under HIPAA and does not guarantee your organization's compliance with HIPAA or any other applicable law or regulation.

5. Acceptable Use

You agree not to:

  • Access the Service by any means other than the interfaces provided
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Submit protected health information (PHI) to public website contact or demo request forms
  • Use the Service to transmit PHI without an executed BAA where required by law
  • Use the Service in violation of any applicable law or regulation
  • Impersonate any person or organization
  • Interfere with or disrupt the integrity or performance of the Service

6. Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Clickless, Inc. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

8. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLICKLESS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLICKLESS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF CLICKLESS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CLICKLESS' AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service will immediately cease.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Delaware.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the revised Terms with an updated effective date. Continued use of the Service after changes constitutes acceptance.
